1. Introduction

These terms and conditions govern your use of the website traffiy.com and any services provided by Traffiy ("we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our website or services.

2. Our Services

Traffiy is a paid media agency offering advertising management, creative production, landing page development, and strategic consulting. The specific scope of work for each engagement will be set out in a separate proposal or statement of work agreed by both parties.

We reserve the right to update, modify, or discontinue any service at any time. We will give reasonable notice of any changes that affect an active engagement.

3. Client Responsibilities

By engaging our services, you agree to:

  • Provide accurate and timely information, assets, and access required for us to deliver the agreed work.
  • Review and approve deliverables within the timeframes set out in the statement of work.
  • Ensure that any materials you provide do not infringe third-party intellectual property rights.
  • Comply with the advertising policies of any platforms on which campaigns are run.

4. Payment Terms

Payment terms will be outlined in the proposal or statement of work for each engagement. Unless otherwise agreed:

  • Invoices are payable within the timeframe stated on the invoice.
  • You may pay in one of the following currencies: USD, EUR, GBP or CAD.
  • All fees are exclusive of VAT or applicable sales tax unless stated otherwise.
  • Late payments may incur interest in accordance with applicable law.
  • Ad spend is billed separately and is payable directly to the advertising platform unless we agree otherwise in writing.

5. Intellectual Property

Any creative work, strategies, or deliverables produced by Traffiy during an engagement remain our intellectual property until full payment has been received. Once payment is complete, ownership of the final deliverables transfers to the client, except for:

  • Any pre-existing tools, templates, or frameworks that we use across multiple clients — these remain ours, though you receive a licence to use them within the scope of the engagement.
  • Third-party assets (stock images, fonts, software) which are subject to their own licence terms.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement and lasts for two years after the working relationship ends.

7. Limitation of Liability

We work hard to deliver great results, but paid media performance depends on many factors outside our control (market conditions, platform algorithm changes, competition, product-market fit, and more). Because of this:

  • We do not guarantee specific results, revenue, or return on ad spend.
  • Our total liability for any claim arising from our services is limited to the fees you paid us in the three months before the claim arose.
  • We are not liable for any indirect, incidental, or consequential damages, including lost revenue or profits.
  • Nothing in these terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Termination

Either party may end an engagement by giving 30 days' written notice. On termination:

  • Any outstanding invoices remain payable.
  • Work completed up to the termination date will be invoiced and is payable.
  • We will hand over all account access, assets, and data that belong to you within a reasonable timeframe.

9. Website Use

You may use our website for lawful purposes only. You must not misuse the site by introducing viruses, attempting unauthorised access, or using automated tools to scrape content. We reserve the right to restrict access to anyone who violates these terms.

10. Third-Party Links

Our website may contain links to third-party websites. We have no control over the content or practices of those sites and accept no responsibility for them.

11. Amendments

We may update these terms from time to time. Changes will be posted on this page with an updated "last updated" date. Continued use of the website or our services after changes are posted constitutes acceptance of the revised terms.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
